Production Sound Services Agreement

Made as of [DATE] between Mason Dean LLC, a Maryland limited liability company d/b/a prod.mason ("Engineer"), and [PRODUCTION COMPANY / INDIVIDUAL] ("Production"), for production sound services on [PROJECT TITLE] (the "Project").

1. Services

Engineer will provide production sound services for the Project, which may include production sound mixing, boom operation, lavalier placement and monitoring, and ambience/atmosphere capture on set, as agreed by the parties.

2. Dates & Location

Engineer is engaged for [#] shoot day(s) beginning [FIRST SHOOT DATE], at [LOCATION(S)]. Additional days may be added by mutual written agreement at the same rates.

3. Compensation

(a) Day rate. Production will pay Engineer a day rate of $[DAY RATE] per shoot day. The day rate covers up to ten (10) hours on set, measured from crew call to wrap, excluding any unpaid meal break.

(b) Overtime. Time worked beyond ten (10) hours in a day is billed at one and one-half (1.5) times the prorated hourly equivalent of the day rate.

(c) Kit fee. Production will pay an equipment rental (kit) fee of $[KIT FEE] per shoot day, billed separately from the day rate.

4. Deposit & Payment

A non-refundable deposit of fifty percent (50%) of the estimated total (day rate plus kit fee, times the number of booked days) is due upon signing and holds the booked dates. The remaining balance, including any overtime, is due on the final shoot day.

5. Cancellation

Production may cancel any booked day at no charge up to twelve (12) hours before that day's call time, and any deposit paid for cancelled days will be refunded in full within five (5) business days. If Production cancels within twelve (12) hours of call time, the deposit for the cancelled day(s) is forfeited. A change to booked dates requested by Production is a cancellation of the original dates and a request for a new booking. If Engineer is available for the new dates, the parties amend the booking in writing and the deposit applies to the new dates. If Engineer is unavailable, the change is treated as a cancellation by Production under this Section as of the date the change is requested, and Engineer has no obligation with respect to the new dates.

6. Equipment & Insurance

Engineer provides a professional production sound kit (the "Kit"). Production shall carry equipment insurance covering the Kit at full replacement value for the duration of the engagement, including any travel days, and shall name Mason Dean LLC as loss payee. Kit value is available on request. Production is responsible for loss of or damage to the Kit while in Production's care, except damage caused by Engineer's gross negligence.

7. Travel

Local rates apply within the Baltimore/DMV area. For shoots outside that area, travel time, transportation, lodging, and per diem are negotiated separately and added to Production's invoice.

8. Deliverables

Engineer will deliver recorded audio as polyphonic WAV files with timecode, together with a sound report for each shoot day (channels, takes, and notes). Deliverables are provided after receipt of final payment.

9. Credit

Engineer shall be credited on screen and on IMDb as "Production Sound Mixer," per agreed billing.

10. Independent Contractor

Engineer is an independent contractor, not an employee, agent, or partner of Production. Engineer is responsible for Engineer's own taxes and performs the services using Engineer's own equipment and methods.

11. Ownership

Upon full payment, the recorded audio deliverables are owned by Production for use in the Project. Engineer retains ownership of the Kit and of any proprietary tools or methods, and makes no claim to the Project itself.

12. Limitation of Liability

Engineer's total liability under this Agreement will not exceed the fees actually paid to Engineer for the Project. Engineer is not liable for indirect, incidental, or consequential damages, nor for conditions outside Engineer's reasonable control (e.g., uncontrollable location noise or schedule changes), though Engineer will use professional efforts to capture usable sound.

13. Independent Legal Advice

Each party has had the opportunity to seek independent legal counsel. prod.mason / Mason Dean LLC is not Production's attorney.

14. Governing Law

This Agreement is governed by the laws of the State of Maryland, and any dispute will be resolved in the state or federal courts located in Maryland.

15. Entire Agreement

This Agreement is the entire agreement between the parties on its subject and supersedes prior discussions. It may be amended only in a writing signed by both parties. If any provision is unenforceable, the remainder stays in effect.
