Made as of [DATE] between Mason Dean LLC, a Maryland limited liability company d/b/a prod.mason ("Engineer"), and [CLIENT] ("Client"), for post-production sound services on [PROJECT TITLE] (the "Project").
Engineer will provide post-production sound services for the Project, which may include dialogue editing, atmosphere design, sound effects and Foley, music integration, and final mix, individually or as a full package, as agreed by the parties.
Services are billed hourly at $[RATE] per hour. Engineer provides an up-front estimate based on runtime, source material, and scope; the estimate is a good-faith projection and not a cap.
A retainer of $[RETAINER] is due before work begins. Hours are billed against the retainer and replenished as needed.
Work begins at locked picture. Edits to the cut after lock are billed as additional hours at the rate in Section 2.
The delivery schedule is confirmed at booking and is contingent on Client delivering materials per the provided specification by the agreed date. Late delivery of materials compresses the timeline at Client's expense. Engineer assesses the delivered files on receipt: workable but rough audio triggers a rate adjustment that Client must approve before work proceeds, and audio that is unusable (severely damaged, clipped, or noisy beyond repair) entitles Engineer to exit this Agreement with the deposit non-refundable. Client designates one named point of contact for all project communication. The suggested retainer is an estimate only; actual hours worked govern billing. Projects inactive for thirty (30) or more days may be rebooked into the next available window.
Each service stage includes ten (10) revisions. A revision is one contiguous section of the film, three (3) to five (5) seconds in length. Additional revisions are Five Dollars ($5) each. All revisions are submitted and tracked through EngineEars; revision requests sent by text, email, or any other channel are not accepted.
Engineer will deliver the finished work in AAF format unless otherwise agreed in writing, with loudness targeted to the Client's release platform. File delivery and payments run through EngineEars. Deliverables are released upon receipt of final payment.
Engineer shall be credited on screen and on IMDb, per agreed billing.
Client represents that it owns or has licensed all picture, music, and other materials it provides for the work, and will indemnify and hold Engineer harmless against any claim arising from those materials.
Engineer is an independent contractor, not an employee, agent, or partner of Client. Engineer is responsible for Engineer's own taxes and performs the services using Engineer's own equipment and methods.
Upon full payment, the sound deliverables are owned by Client for use in the Project. Engineer retains ownership of its tools, sessions, and methods, and makes no claim to the Project itself.
Engineer's total liability under this Agreement will not exceed the fees actually paid to Engineer for the Project. Engineer is not liable for indirect, incidental, or consequential damages.
Each party has had the opportunity to seek independent legal counsel. prod.mason / Mason Dean LLC is not Client's attorney.
This Agreement is governed by the laws of the State of Maryland, and any dispute will be resolved in the state or federal courts located in Maryland.
This Agreement is the entire agreement between the parties on its subject and supersedes prior discussions. It may be amended only in a writing signed by both parties. If any provision is unenforceable, the remainder stays in effect.
